I. Registration & Access

Users must be 13 years of age or older and agree to our Terms of Service to use Zenkai Online.

Users who are European Economic Area residents and are under the age of 16 years, defined as minors under General Data Protection Regulation (GDPR) (EU) law, are allowed to access the Zenkai Online website, but they must obtain the consent of their parents or legal guardians designating that they agree to the terms in the Zenkai Online Terms of Service. These users will be required to provide their parent or legal guardian’s email address, through which Zenkai Online will send them a verification email that will allow them to verify their consent for their child.

Zenkai Online strives to be a safe website, but cannot always control the actions of our users. As such, parents must accept and understand that minors play at their own risk.

By accessing this website, you are agreeing to be bound by the website Terms of Service detailed herein, all applicable laws and regulations, and agree that you are responsible for compliance with any applicable local laws. If you do not agree with any of these terms, you are prohibited from using or accessing this site.

II. Account

• You agree to provide accurate information upon registration. This includes your own valid email address and your own legal date of birth. This information must remain accurate and must be updated if your circumstances change.

• It is the User’s responsibility to create a strong login name and password and to keep their login name and password secure from the knowledge of others.

• You agree to register a maximum of two account per individual User.

  • In the circumstance that any User’s account is permanently banned, that banned account still counts toward that User’s maximum of one registered account per individual User.

• Your privilege to use the Zenkai Online website is not transferable. Your account may not be given away or sold to another user or person.

• You are prohibited from sharing your Zenkai Online account with another person(s) at any time.

• The sale of Zenkai Online assets (including but not limited to items, pets, prize codes, currency, and accounts) for real-world currency is prohibited.

• Zenkai Online may terminate, ban, or suspend an account at any time, for any reason, without notification.

  • All items, Pets, Zenkai Gems/Stellars, and other aspects of your account are considered to be a limited license to you for your use while your account is open. Due to the limited nature of the license: the inventory in your account, your User Submissions, and any other virtual items (including Zenkai Gems/Stellars), and creations or submissions, are considered to be forfeit: when you close your account, if the account is banned for violation of the Terms or otherwise terminated as provided herein, or in the event that Zenkai Online discontinues the Site. Any fees paid hereunder are non-refundable.

  • Zenkai Online may also, in its sole discretion and at any time, discontinue providing access to Zenkai Online, or any part thereof, with or without notice. You agree that any termination of your access to Zenkai Online or any account you may have may be effected without prior notice, and you agree that Zenkai Online shall not be liable to you or any third party for any such termination.

• Discussion of, or relating to, specific incidents of account suspension or termination is not permitted on Zenkai Online. Any and all inquiries regarding an account action should be directed to staff via support ticket by any affected parties. This is to protect the account owner. Please keep in mind that Zenkai Online staff, in order to protect User privacy, will never disclose account-related issues with anyone but the owner of the affected account.

III. User Conduct

As a Zenkai Online User, you agree to abide by the following rules of conduct as part of this Terms of Service agreement:

• All Users are required to conduct themselves according to the rules listed on our official Rules of Conduct page.

  • All Users are expected to familiarize themselves with the entire contents of the Rules of Conduct and will be held accountable to these rules at all times.

  • If you do not accept Zenkai Online’s Rules of Conduct, or otherwise refuse to adhere to them at any point, then your only recourse is to discontinue using the site.
  • In addition, failure to comply can result in a permanent ban from Zenkai Online.

• You may not use the site for unlawful purposes. This includes posting, distributing, or promoting content that is illegal.

• Distributing material which may cause harm to Zenkai Online or its users is not permitted. This includes but is not limited to programs, software, and scripts designed to damage, exploit, disrupt, or otherwise allow unauthorized access to any Zenkai Online accounts or content.

1. Exploitation and/or dissemination of knowledge of glitches, bugs, or loopholes is not permitted. The discovery of an exploitable glitch, bug, or loophole should be reported immediately and confidentially via report ticket so that Zenkai Online may correct the issue.

1. The use of bots, “macros”, scripts, auto-refreshers, or third party software designed to play any part of the game for you, in any way, is not permitted.

1. The use of bots, scripts, or third party software that shortcut or alter site functions to run or appear in ways that are not intended by site design is not permitted.

1. The use of bots, “macros”, scripts, or third party software that generate an excessive amount of concurrent connections or potentially damage site stability is not permitted. This includes using browser functions, add-ons, extensions, etc. to hit Zenkai Online’s server infrastructure in repetitive or disproportionate ways. These incidents will be reviewed thoroughly on a case-by-case basis.

   1. The Zenkai Online development and support team will not intervene to return or replace any lost assets in these types of transactions, as they are explicitly conducted at the User’s own risk. To avoid fraudulent trades, please use the Trades Market.

Stealing, scamming, or otherwise failing to abide by terms agreed upon between Users during “lending” transactions are still considered against these Terms of Service, and may result in disciplinary action against the User’s account. If a User believes that they have been scammed in this way, please submit a support ticket.

1. “Cross-site Trading” of any virtual assets associated with a User’s Zenkai Online account for virtual assets from another game is only permitted if the following criteria has been met:

      1. Zenkai Online is a virtual pet and avatar game that is categorized into a genre of browser-based games typically referred to as “virtual pet websites”. If there is any uncertainty regarding the genre of another game, please submit a support ticket to staff for review.

      1. Genres of games with which cross-site trading is not permitted consist of, but are not limited to the following:

         1. Games hosted through any video game digital service distribution platform, such as Steam, Epic Games, etc.;

         1. “Massively multiplayer online” games, known as MMOs;

         1. Adoptable and “closed species” adoptable communities that have their own game-like elements, currency, or assets which can be traded outside of the community.

   6. Any game whose intellectual property (IP) and assets are involved in the transaction must expressly permit the Users of their game to trade such content for assets from Zenkai Online.

   8. Only games that are currently in full release condition qualify for “cross-site trading”; games that are currently in an alpha, beta, or early access state may not be traded with.

   10. Individuals involved must accept that “cross-site trading” is not a supported transaction. The Zenkai Online support team will not intervene to return or replace any lost assets in these types of transactions, as they are explicitly conducted at the User’s own risk.

IV. Disclaimers; No Warranties

You acknowledge that Zenkai Online has no control over, and no duty to take any action regarding: which users gain access to Zenkai Online; what Materials you access via Zenkai Online; what effects such Materials may have on you; how you may interpret or use such Materials; or what actions you may take as a result of having been exposed to such Materials. Zenkai Online may contain links to websites containing information that some people may find offensive or inappropriate. You release Zenkai Online from all liability for you having acquired or not acquired Materials through the Website.

Zenkai Online and any third-party software, services, or applications made available in conjunction with or through Zenkai Online are provided “as-is” and “as available” without warranties of any kind either expressed or implied. Zenkai Online, its suppliers, licensors, and partners do not warrant or make any representation regarding the use or results of the use of Zenkai Online in terms of correctness, accuracy, reliability, or otherwise. You assume the entire cost of any necessary servicing, repair, or correction. You understand and agree that you download or otherwise obtain material or data through the use of Zenkai Online at your own discretion and risk and that you will be solely responsible for any damages to your computer system or loss of data that results from the download of such material or data.

V. Indemnification / Hold Harmless

You agree to indemnify, save, and hold Zenkai Online, its affiliated companies, officers, employees, agents, suppliers, licensors, and partners harmless from any claims, losses, damages, liabilities, including attorneys’ fees, arising out of your use or misuse of Zenkai Online, violation of these Terms, violation of the rights of any other person or entity, or any breach of the representations, warranties, and covenants made by you herein. Zenkai Online reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify Zenkai Online, and you agree to cooperate with Zenkai Online’s defense of these claims.

VI. Links

Zenkai Online may include links to other websites or services solely as a convenience to Users (“linked sites”). Zenkai Online does not endorse any such linked sites or the information, material, products, or services contained on other linked sites or accessible through other linked sites. Furthermore, Zenkai Online makes no express or implied warranties with regard to the information, material, products, or services that are contained on or accessible through linked sites.

Access and use of linked sites, including the information, material, products, and services on linked sites or available through linked sites, is solely at your own risk, and you acknowledge that Zenkai Online shall not be responsible or liable, directly or indirectly, for any loss or damage caused or alleged to be caused by your use of any linked site.

Your correspondence or business dealings with, or participation in promotions of, advertisers found on or through Zenkai Online are solely between you and such advertiser. You agree that Zenkai Online will not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings or as the result of the presence of such advertisers on Zenkai Online.

Your activities with such third party advertiser are governed by the terms and privacy policy on such linked site.

VII. Copyright & Submitted Content

Zenkai Online is owned and operated by Zenkai Interactive Studios, LLC. The visual interfaces, graphics, design, compilation, information, computer code, products, software, services, and all other elements of Zenkai Online provided by Zenkai, including without limitation any artwork, Zenkai virtual items, Zenkai Gems/Stellars, Member Submissions, Zenkai Member Online Accounts or User IDs, or visual art and any combination thereof (all of the foregoing, collectively, the “Materials”) are protected by copyright, trade dress, patent, and trademark laws, international conventions, and all other relevant intellectual property and proprietary rights, and applicable laws. Except for any Member Submissions, which are owned by and provided by our Members, all Materials contained on Zenkai Online are the property of Zenkai or its subsidiaries or affiliated companies and/or third-party licensors. All intellectual property, including but not limited to trademarks (registered and common law), service marks, and trade names are proprietary to Zenkai or its affiliates and/or third-party licensors. Except as expressly authorized by Zenkai, you agree not to buy, sell, license, distribute, copy, modify, publicly perform or display, transmit, publish, edit, adapt, create derivative works from, or otherwise make any unauthorized or commercial use of the Materials. You agree to abide by all copyright notices, information and restrictions contained in any Materials.

User-generated content, which includes forum posts, onsite chatroom posts, user profiles, pet profiles, pet pages, private messages, and any other content submitted to Zenkai Online by Users, is subject to the following Agreement:

By submitting content to Zenkai Online, the User warrants that they have the full legal rights and powers to enter into and perform this Agreement with Zenkai Online, and thereby grant Zenkai Online all rights to use any and all submitted content, without limitations, as outlined in this Agreement.

   1. The User is solely responsible for obtaining all necessary third-party consents, rights, licenses, and permissions for any content submitted to Zenkai Online, in order to fully perform this Agreement.

The User agrees to defend, indemnify, reimburse, and hold Zenkai Online (including all affiliated entities) harmless from and against any and all liability, loss, damages, judgments, costs and expenses (including reasonable attorney’s fees, costs and expenses and court costs) arising out of or related to a User’s breach or alleged breach of the terms of this Agreement.

      2. This includes any violation or alleged or threatened violation of any rights of a third party, including, without limitation, any trademark, copyright, or patent of any third party, arising from the submission of content to Zenkai Online.

Upon submitting content to Zenkai Online, for the sole purpose of making that content available to other Zenkai Online Users on Zenkai Online, you grant Zenkai Online a non-exclusive, royalty-free license to copy, reproduce, modify, change, transmit, adapt, distribute, re-format, store, broadcast, exhibit, and create derivative works from such content, as well as to publicly display and perform your content in any media known or hereafter created.

7. Upon submission of a suggestion or idea to Zenkai Online, you agree that you will not receive compensation for the use of the idea.

VIII. The Digital Millennium Copyright Act (DMCA) Compliance

In the event that an intellectual property holder or their representative finds a User on Zenkai Online is infringing their rights, the holder or representative may send a DMCA takedown letter via dmca@zenkaionline.com. What this means: Zenkai Online values the intellectual property of others. If your work has been stolen, we will assist in having it removed.

IX. Art Sales Policy

1. You may sell your digital Zenkai Online fan art or commissions for both “real world” currency or for Zenkai Online Currency, as long as you agree to be bound by our Terms of Service, and acknowledge that Zenkai Online retains all copyrights to its pets, items, characters, writing, music, designs, logos, game assets, and concepts.

5. Zenkai Online intellectual property (IP) may be sold for “real world” currency with some limitations.

   1. You may not duplicate, copy, or reuse any portion of Zenkai Online’s Official Artwork or logos.

   3. Sales of commissions, fan art, craft projects, or any other creation using Zenkai Online’s IP are permitted, so long as they:

   7. Do not make up the majority of what a seller is selling at any virtual or real world storefront(s), convention(s) or event(s).

   1. Tangible fan-made merchandise utilizing Zenkai Online IP may be gifted, traded, purchased with Zenkai Online currency, or raffled (provided the raffle does not utilize “real world” currency), but may not be sold continuously for “real world” currency as a main source of income.

      1. A “main source of income” in this situation means: A storefront/booth that sells solely fan work and merchandise utilizing Zenkai Online IP.

   5. Fan-made creations utilizing the Zenkai Online IP may not be added to any virtual or real world third party storefronts (such as print-service stores) or e-commerce marketplaces without express consent from Zenkai Online.

Individuals that have accepted these terms are permitted to sell their fan-made creations via their own personal/private virtual storefronts, so long as the individual is not in any way entering into any contractual agreements that may confer rights to Zenkai Online’s IP to any third parties or businesses or infringes on Zenkai Online’s copyrights by doing so.

         1. Some examples of such third party storefronts and e-commerce marketplaces that are not allowed are: Shapeways, Deviantart Prints, Redbubble, Cafepress, Zazzle, Storenvy, Etsy and similar entities.

1. Artwork sales of original works, tangible and digital, utilizing the artist’s own IP may be sold by the artist on Zenkai Online and have no limitations on units sold.

X. Virtual Currency & Currency Purchases

As a User, you may accumulate two types of virtual currencies known as “Gems” and “Stellars”, which constitutes a limited license right to use a feature of Zenkai Online when, as, and if allowed by Zenkai Online. Gems and Stellars are the fictional currency used in the world of Zenkai Online and they may only be used to purchase virtual goods or virtual services which are stored in the User’s inventory and can be used to enhance the look of the User’s online persona, also known as an “Avatar”, or other on-site features. Zenkai Online may charge fees for the right to use Gems and/or Stellars, or may distribute Gems and/or Stellars without charge, in its sole discretion. Regardless of terminology used, both Gems and Stellars represent a limited license right governed solely under these Terms, have no real value, and are not transferable or redeemable for any sum of money or monetary value from Zenkai Online at any time.

As a condition of using Zenkai Online and accumulating Gems and Stellars, you agree that Zenkai Online has the absolute right to reduce, manage, regulate, control, modify and/or eliminate Gems and Stellars, including the Gems and/or Stellars in your account, as it sees fit in its sole discretion, and that Zenkai Online will have no liability to you based on its exercise of such rights. Upon your closing of your account or the termination of your account by Zenkai Online as provided in these terms, you understand that your limited license to use Gems and Stellars will be terminated and that no sum shall be due or owed to you for the Gems and/or Stellars accumulated in your inventory or account.

Zenkai Online allows its Users to purchase a virtual currency. This currency is called “Gems”, and is used to purchase a variety of virtual products on zenkaionline.com. The User agrees that they are receiving a license for this virtual content and have no claim of ownership toward the content.

Users are liable for the transactions they submit.

1. All Gems/Stellars and virtual items sales are final and non-refundable.
2. All digital purchases made on Zenkai Online are for the USE of items within the website, and are not indicative of personal ownership of said items.

1. Users who attempt to issue a Chargeback on Gem purchases will have their account terminated.

By submitting a transaction through PayPal for any Zenkai Online merchandise, including virtual merchandise or currency “Gems”, you agree that you are authorized to use the PayPal account you are sending the payment from. If you are found to be accessing a PayPal account and sending illegitimate transactions, you agree to be held liable for civil and/or criminal penalties as Zenkai Online pursues all fraud avenues through your bank, PayPal, your credit card company, and any and all legal avenues that Zenkai Online uses. You agree that all data you have submitted to Zenkai Online will be used to identify you to police, credit card companies, PayPal employees, banks, courts, and any other entity involved in your attempt to recover funds and Zenkai Online’s attempt to pursue civil or criminal penalties.

By submitting a transaction using a Credit Card for any Zenkai Online merchandise, including virtual merchandise or currency “Gems/Stellars”, you agree that you are authorized to use the Credit Card you are sending the payment from. If you are found to be accessing someone else’s Credit Card and sending illegitimate transactions, you agree to be held liable for civil and/or criminal penalties as Zenkai Online pursues all fraud avenues through your bank, your credit card company, and any and all legal avenues that Zenkai Online uses. You agree that all data you have submitted to Zenkai Online will be used to identify you to police, credit card companies, banks, courts, and any other entity involved in your attempt to recover funds and Zenkai Online’s attempt to pursue civil or criminal penalties.

XI. Site Terms of Use Modifications
Zenkai Online reserves the right to modify or discontinue the site with or without notice to you. Zenkai Online will not be liable to you or any third party if we elect to exercise our right to discontinue the site. Zenkai Online reserves the right, at our discretion, to change, modify, add, or remove portions of the Terms herein at any time by posting an updated version on the website.

Please check these Terms periodically for changes. Your continued use of Zenkai Online after the posting of changes constitutes your binding acceptance of such changes. If the modified Terms are not acceptable to you, then your only recourse is to discontinue using the site.
